These Terms of Service ("Terms") constitute a legally binding agreement made between you and Devsquirrel Technologies Private Limited ("Company", "we", "us", or "our"), concerning your access to and use of the SpotEleven platform ("Service").

By accessing or using our Service, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service.

3. Eligibility

You must be at least 18 years old to use our Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this Agreement.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Account Registration and Security

You may be required to register with the Service. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine it is inappropriate, obscene, or otherwise objectionable.

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5. Acceptable Use

You may not use our Service:

• For any unlawful purpose or to solicit others to take unlawful actions
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code
• To interfere with or disrupt the Services or servers connected to the Services
• To attempt to gain unauthorized access to any portion of the Services

6. User Content and Intellectual Property

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for Content that you post to the Service, including its legality, reliability, and appropriateness.

By posting Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content solely for the purpose of providing and improving the Services.

You retain ownership of your User Content. We claim no ownership rights over User Content submitted by you.

7. Privacy and Data Protection

The Service and its original content, features and functionality are and will remain the exclusive property of Devsquirrel Technologies Private Limited and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

10. Service Availability

We strive to provide reliable access to our Service, but we do not guarantee that the Service will be available at all times. The Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

11. Fees and Payment

Some features of our Service may require payment of fees. If you choose to use paid features, you agree to pay all applicable fees as described on the Service. All fees are non-refundable unless otherwise stated.

We reserve the right to change our fees at any time. Any fee changes will be effective after we provide you with notice as required by law.

Subscriptions automatically renew unless cancelled. You may cancel your subscription at any time through your account settings.

12. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service. Upon termination, your right to use the Service will cease immediately.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

13. Confidential Information

Both parties may have access to confidential information of the other party. Each party agrees to maintain the confidentiality of such information and not to disclose it to third parties without prior written consent.

14. Indemnification

You agree to defend, indemnify and hold harmless Devsquirrel Technologies Private Limited and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

15. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all representations, warranties, conditions and terms whether express or implied, statutory or otherwise.

We make no warranty that the Service will meet your requirements or be available on an uninterrupted, secure, or error-free basis.

16. Limitation of Liability

In no event shall Devsquirrel Technologies Private Limited, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

Our total liability to you for all damages shall not exceed the amount paid by you to us in the twelve (12) months prior to the event giving rise to the claim, or $100, whichever is greater.

17. Governing Law and Jurisdiction

These Terms shall be interpreted and governed by the laws of India. You submit to the exclusive jurisdiction of the courts located in India for the resolution of any disputes.

18. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the Indian Arbitration and Conciliation Act, 2015. The arbitration shall be conducted in English and the seat of arbitration shall be in India.

19. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature or acts of God, wars, riots, civil disorders, rebellions or revolutions, or any other cause beyond our reasonable control.

20. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that most closely approximates the intent and economic effect of the invalid provision.

21. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, shall constitute the entire agreement between us concerning the Services.

22. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
